Aliso Viejo’s Quest Software Inc., a maker of database management software, said Thursday it is buying a Florida software maker for $90 million.
Quest is set to buy Boca Raton-based ScriptLogic Corp., a privately held company that makes network management software that runs on Microsoft Corp.’s operating system.
“Windows server-based services and products have become a cornerstone of Quest’s success and central to our opportunity for ongoing growth,” said Chief Executive Vinny Smith.
ScriptLogic is a “natural fit” for Quest, he said.
ScriptLogic had about $20 million in sales last year and counts about 19,000 customers.
Its chief executive, Jason Judge, is set to report to Smith.
Other members of ScriptLogic’s management will stay in place, the company said.
The all-cash deal is expected to close in the fall, the company said.
The move is part of Quest’s push to go after small and midsize business, the company said.
The announcement comes at an odd time for Quest.
Nasdaq officials have been badgering the company for a running lapse in financial results amid a probe into stock option grants.
It has received several warning letters from the exchange. Quest now has until July 9 to file several financial reports for the past few quarters.
The company will be booted from Nasdaq on July 11 if it still hasn’t complied, Quest said.
Quest hasn’t reported full financial results for more than a year.
