Newport Beach-based healthcare software company TriZetto Group Inc. said last week it plans to buy Boston’s CareKey Inc. for $60 million, plus $40 million or more if the company hits financial goals.
Directors at both companies have approved the deal, according to TriZetto. The buy is expected to close during the quarter.
TriZetto helps health plans, benefits administrators and doctors manage data by providing software and Web sites for insurers and provider groups.
CareKey, which is privately held, runs Web sites that allow patients, doctors and insurers to track appointments and claims.
TriZetto said it expects the buy to add to earnings next year.
CareKey’s workers are set to join TriZetto.
The company’s cofounder, Ido Schoenberg, is set to become TriZetto’s chief strategic development officer. Roy Schoenberg, CareKey’s other founder, is set to become chief Internet solutions officer.
TriZetto and CareKey have worked together since late 2003. The companies developed CareAdvance Enterprise, software that automates member details for health plans as well as for claims, eligibility, benefits and authorizations.
