A Minneapolis-based e-commerce company is buying Aliso Viejo-based Commerce5 Inc. in a $45 million deal, the companies said Thursday.
Digital River Inc. is set to pay $32.4 million to Commerce5 and assume debt of $12.6 million as part of the deal. Commerce5 executives also will be granted Digital River shares if performance goals are hit.
The deal is expected to close later this month.
Digital River will pick up about 40 Commerce5 contracts with Japan’s Sony Electronics Inc., Irvine-based Gateway Inc., Lexington, Ky.-based Lexmark International, Inc. and Lake Forest-based Western Digital Corp., among others.
Commerce5 helps clients sell products through e-commerce sites and boost their catalog of products with complimentary items from other technology companies.
Digital River plans to use Commerce5’s catalog of more than 100,000 products through its oneNetwork online retail and affiliate partners.
