CoreLogic Inc.’s proxy battle features a Bill Foley-proposed board of directors who pack a ton of Wall Street experience, including other takeover battles. They include:
• W. Steve Albrecht was chairman of Cypress Semiconductor Corp. when it was acquired by Infineon Technologies AG for $10 billion, and chairman of the Audit Committee of RedHat Inc. when it was acquired by IBM (NYSE: IBM) for $35 billion. He is also a former president of the American Accounting Association and Association of Certified Fraud Examiners.
• Wendy Lane was a principal and managing director of Donaldson, Lufkin and Jenrette Securities. Since 2016, Lane has served as chairman of the Compensation Committee of Willis Towers Watson, which announced a $30 billion deal in March to combine with Aon PLC.
• Ryan McKendrick was chief executive of AMCOL International when it was sold for $1.7 billion in 2014.
• Sreekanth Ravi was co-founder and CEO of SonicWall, which was sold in 2012 for an estimated $1.2 billion to Dell.
• Henry W. “Jay” Winship, founder of real estate investment firm Pacific Point Capital, was a principal at Relational Investors LLC, a $6 billion investment fund.
• Gail Landis was a founding partner of Evercore Asset Management LLC where she served as managing principal from 2005 until 2011. She has been on the board of Morningstar since 2013.
• Katherine “KT” Rabin was CEO at governance firm Glass, Lewis & Co. from 2007 to 2019
• Lisa Wardell is CEO of Adtalem Global Education Inc., which has a $1.8 billion market cap. Prior to joining Adtalem, she was chief operating officer at The RLJ Companies where she was responsible for managing the company’s mergers and acquisitions.
• Martina Lewis Bradford previously served as VP for Government Affairs at AT&T and corporate VP for Global Public Affairs at Lucent Technologies.
