Lake Forest-based construction and engineering company Primoris Services Corp. said Thursday it acquired James Construction Group LLC, a Baton Rouge, La.-based construction company, for $135 million.James Construction does work for government and private clients across the Gulf Coast from Texas to Florida.
The company, founded in 1998, generated revenue of $410 million and reported an operating profit of $33 million last year.
Primoris is buying James Construction for $7 million in cash, a five-year $53.5 million promissory note and shares of Primoris preferred stock valued at $64.5 million.
Incentives could provide James Construction another $10 million in Primoris common stock.
James Construction will become a subsidiary of Primoris. Its current management team, led by chief executive Mike Killgore, will continue to operate the business.
It’s the second acquisition in as many months for Primoris. In October, it bought Houston-based Cravens Partners Ltd. for an undisclosed amount of cash and stock.
